UBRIS.COM SERVICES

Ubris.com is a platform that aims to bring together Buyers and Sellers of advertising space. “MSA Media” SRL does not organize auctions and is not involved in transactions between Buyers and Sellers. Our services are limited to providing auction or fixed-price buying / selling models that allow Buyers and Sellers to trade with each other.

MEMBERSHIP

You may only sell, auction, or purchase advertising space if you are a member of Ubris.com. Registration as a member is free, but you must have the legal right to represent the company and enter into contracts. Member information and data published on Ubris.com must be true and complete.

Registration on Ubris.com as a MANAGER presupposes the status of an individual. The manager has access restrictions, use only the social network and publish articles. The Manager can be hired or fired by Company users within Ubris.com

User Company implies a status of legal entity. The Company user can register the company by entering its requisites. Once you select the Buyer profile, you can create ad campaigns, add and reserve campaign space, and then place your ad. After the approval of the spaces by the Seller and the Buyer, the parties begin to exchange trade. The transaction involves the acceptance by both parties of the average of the plan, the payment order and the contract. The acts may not be amended after their approval.

The Buyer Manager may hire and fire the Buyer or Seller Profile Manager. The manager added within the company will be able to create advertising campaigns, add and reserve spaces in the campaign and later will be able to place the advertisement.

The Seller Profile has access to a wider range of accessibility within the portal. The seller may add advertising space that he legally owns. Ubris.com reserves the right to request documents confirming the legality of advertising space. In case these spaces are illegally owned or do not exist, they will be deleted by Ubris.com and the user will be blocked. The profile will be unlocked if the user submits documents confirming that he is the owner of these advertising spaces. The template for adding ad slots is standard for all Sellers. The Seller Director can set a discount threshold for each group of advertising space: outdoor, indoor, media, online, events. The reduction stems from the budget and period. The budget is accumulated over a calendar year and the reduction is determined accordingly. The Seller Director may offer a preferential discount to a particular company.
The Seller may approve or reject the advertising campaigns created by the Buyer. The seller can create campaigns for the Buyer by adding advertising space to his list. After the approval of the spaces by the Seller and the Buyer, the parties begin to exchange trade. USE OF NAME AND PASSWORD

It is your responsibility to keep your password secure. Do not provide or allow others to use your username and password. You are responsible for all transactions, communications, agreements and actions taken with your username and password. If you suspect that your profile is being used unauthorized, notify Ubris.com immediately.

We recommend that you change your password regularly. Do not respond to any password change requests, even if they come from someone who claims to be an employee of Ubris.com. Notify Ubris.com immediately if you receive such a request.

OBLIGATION OF BUYERS

Ubris.com does not allow the withdrawal of the campaign if all documents have been approved by both parties, both Seller and Buyer. The Buyer must complete the transaction made with a Seller, unless the transaction is prohibited by law or the Terms of Use. By approving advertising space, you agree to the terms of sale indicated in the contract, unless such terms of sale are prohibited by law. Become responsible to the Seller and Ubris.com if you do not complete a transaction or do not comply with the conditions of sale. Without prejudice to other rights, the Seller may leave comments on the respective transaction and / or may request the initiation of legal proceedings against the Buyer, leaving to our absolute discretion, the decision to suspend the account.

By sending the advertisement to a Seller, the Buyer guarantees that he is the owner of the entire content, has copyright and intellectual property over the advertisement. The Buyer offers the Seller the right to distribute the advertising, display the content internationally and / or incorporate it in other advertising spaces in any form. Buyer allows any user to access, display, and store advertising materials. The buyer retains all intellectual property rights that exist in his advertisement. The Buyer allows the Seller to keep its advertising materials and to present any advertisement to comply with legal requirements. The advertisement must not infringe the rights of third parties. It is the Buyer's responsibility to ensure the compliance of the advertising space published on Ubris.com and the correctness of the information. Ubris.com does not examine and is not responsible for the data published by the Seller on Ubris.com.

Ubris.com does not guarantee the results that the Buyer can obtain from the purchase of the advertising space.

BUYER'S WARRANTIES

The buyer guarantees that:

- the right to publish the advertisement

- the content of the advertisement is legal and does not infringe the rights of others;

- has the necessary permissive documents to display the advertisement

EXCLUSION OF WARRANTIES

Ubris.com is not involved in transactions between Buyers and Sellers, therefore it does not monitor the veracity and legality of the content of the advertising space and advertisements. Ubris.com does not guarantee the Seller's ability to sell its advertising space and the Buyer's ability to buy advertising space. We do not confirm or guarantee the identity or contact details of the Seller and the Buyer. Ubris.com is just a means by which Sellers sell advertising space and Buyers buy it. Users assume all risks and are responsible for the use of Ubris.com services. We do not offer marketing or promotional services and, consequently, we do not guarantee the increase of interest, traffic and sales within the Seller's or Buyer's business. Ubris.com is not responsible for violating the rights of third parties within the site.

INFRINGEMENTS OF OTHER MEMBERS

We do not warrant that a Buyer or Seller will perform or complete a transaction legally. Ubris.com does not defend the interests of some Buyers or Sellers, in case of non-execution of the contractual conditions. Ubris.com is just a medium that allows Sellers and Buyers to trade with each other. Ubris.com assumes no responsibility for disputes between Seller and Buyer. The Seller and the Buyer settle disputes. It is not excluded that on Ubris.com will be posted offensive, misleading, defamatory, inaccurate, with errors or omissions by members.

USER INFRINGEMENTS

It is considered a violation:

- involvement of users in fraudulent, misleading activities in connection with Ubris.com

- Failure to comply with the terms of use and applicable laws

- Damage to the interests of Ubris.com, directors, employees, related entities (in which case membership will be suspended)

In order to protect the security and privacy of other members, we are not required to provide you with details about the actions we take in connection with a member or account.

INFRINGEMENT OF COPYRIGHT

We do not verify that users have copyright or other intellectual property. We will not take any action against a member for alleged infringement of copyright or intellectual property, unless the claim is made by the actual owner of the copyright or intellectual property. INTELLECTUAL PROPERTY

All copyrights, trademarks, including content, text, graphics, photos, logos, button icons, images and audio clips are either owned or licensed by Ubris.com, members or third parties. All such materials are protected by domestic and international copyright and intellectual property laws. Reproduction, adaptation, modification, distribution, transmission, display of content on Ubris.com is prohibited. The Ubris.com trademark is owned by “MSA MEDIA” SRL. Users may use this mark only if they are expressly authorized by “MSA MEDIA” SRL. All other trademarks appearing on the site belong to their respective owners. You may not use such intellectual property without the express consent of that owner.

ACCESSING UBRIS.COM

We offer an Ubris.com access license, under which you will be able to sell and buy advertising space in accordance with the stipulated Terms of Use. You may not modify the site without the written consent of Ubris.com. You can only download the page cache. Ubris.com may not be duplicated, copied, sold, resold or otherwise exploited without the written consent of Ubris.com. Once the account is suspended, Ubris.com has the right to delete any content, materials, files of the account. After suspension of the account, access and use of Ubris.com is prohibited. We reserve the right to use any means we deem necessary to prevent unauthorized access to Ubris.com, including the prohibition of IP, e-mail and direct contact with ISPs. For security reasons, if you haven't used your account for at least 6 months, your account will become "Idle" and you will be able to sign in to it. MAJOR FORCE

Force majeure means any unforeseeable and irresistible event whose consequences are unavoidable, which occurs after the conclusion of this agreement. Such cases are considered the events shown by the civil law.

STORE

We may close the site at any time in our sole discretion and without prior notice. We may delete any file or content you post or maintain on the Site. We do not keep copies of materials that Ubris.com or anyone else may delete from the site, for this reason we advise you to keep a copy of any material published on the site.

NOTIFICATIONS

Notifications under these Terms of Use may be sent by Ubris.com by email or on-site notifications. You agree that the use of your username and password constitutes your electronic signature and meets the legal requirements.

VALIDITY OF TERMS

All provisions except your license to access the Site will be valid upon termination or expiration of these Terms of Use. The contractual obligations assumed by the Buyers and Sellers remain in force after its termination and must be fulfilled.

CHANGES

We reserve the right to change these Terms of Use and policies at any time in our sole discretion. By continuing to use Ubris.com, you will be deemed to have accepted the Terms of Use or the amended policy.

APPLICABLE LAW

This Agreement shall be construed in accordance with the laws of the Republic of Moldova. For any matter relating to the interpretation or execution of this Agreement, the parties expressly waive the right to submit to any courts that may have jurisdiction over the matter and agree to submit exclusively to the jurisdiction and jurisdiction of the courts of the Republic of Moldova.
